Affle to Acquire Perion in $420M Omnichannel AdTech Deal

Affle to Acquire Perion in $420M AdTech Deal Affle to Acquire Perion in $420M AdTech Deal

Affle 3iL Ltd. has entered into a definitive agreement to acquire Perion in an all-cash transaction valued at approximately $420 million in equity value, bringing together two advertising technology businesses with complementary positions in mobile performance marketing and omnichannel digital advertising.

Under the agreement, Perion shareholders will receive $11.70 per share in cash, representing a 34.5% premium to Perion’s October 30, 2026 closing share price, according to the companies. Following completion, Perion will become a wholly owned subsidiary of Affle while continuing to operate under the Perion brand.

The proposed transaction is expected to close in early 2027, subject to shareholder approval, regulatory requirements and other customary closing conditions.

For the broader AdTech market, the deal signals continued strategic interest in platforms capable of connecting performance marketing infrastructure with channels spanning retail media, connected TV, digital out-of-home and other digital advertising environments.

Combining Mobile Performance With Omnichannel Advertising

Affle describes its core strength as AI-led technology for mobile advertising and consumer conversions. Perion, meanwhile, has expanded its advertising technology portfolio across multiple channels and has positioned its Perion One platform and Outmax AI agent around cross-channel advertising execution and optimization.

The companies said the combination could extend Affle’s capabilities beyond mobile into Perion’s established advertising channels, including retail media, CTV and DOOH.

That potential combination is strategically significant because advertisers increasingly operate across fragmented consumer environments. Mobile remains central to performance marketing, but campaign execution can now involve multiple screens, commerce environments and physical-world digital media.

Bringing these capabilities under a common corporate structure could give the combined business a broader technology footprint across the consumer journey.

The transaction also places greater emphasis on AI-native execution infrastructure. Both companies frame artificial intelligence as part of their approach to improving advertising performance and connecting data, campaign execution and measurable outcomes.

Implications for Advertisers, Agencies and Publishers

For advertisers and agencies, the strategic rationale centers on access to a wider range of advertising channels and performance capabilities. Perion said its technology is focused on measurable business outcomes, while Affle emphasized opportunities to create synergies across intelligent connected devices.

For publishers and media owners, a broader advertising technology operation could potentially create additional opportunities around monetization and demand activation across Perion’s channel footprint.

The most important question following the transaction will be how deeply the two companies integrate their technology stacks. The announcement identifies complementary capabilities, but it does not detail future product architecture, platform consolidation or how existing advertiser and publisher relationships may change.

Perion’s decision to continue operating under its existing brand could also indicate a strategy that preserves market recognition while the companies evaluate longer-term operational integration.

Market Landscape

The acquisition comes as the AdTech industry continues to place strategic value on scale across multiple advertising channels. Mobile performance, retail media, CTV and DOOH have traditionally developed through different technology ecosystems, creating pressure for advertisers to manage fragmented data and execution workflows.

Perion’s presence across several of these environments gives Affle an established entry point into a broader omnichannel advertising footprint.

The deal also demonstrates that consolidation remains relevant to AdTech companies seeking differentiated technology assets. Rather than focusing exclusively on a single media channel, strategic buyers increasingly have incentives to assemble capabilities across consumer touchpoints.

Perion’s Outmax AI agent and Perion One platform add an AI-focused technology dimension to the transaction, although the companies have not disclosed specific plans for integrating these capabilities with Affle’s technology stack.

Strategic Outlook

If completed, the acquisition could strengthen Affle’s ability to participate in advertising workflows beyond its existing mobile performance focus. Perion would gain access to Affle’s global scale and consumer technology infrastructure while retaining its established brand.

The longer-term significance will depend on execution. Combining mobile performance infrastructure with retail media, CTV and DOOH capabilities could create a more expansive platform proposition, but realizing that potential will require effective integration across products, customers and commercial operations.

The proposed transaction also includes a 40-day “go-shop” period, allowing Perion and its financial advisor to solicit and consider alternative acquisition proposals. The companies said there is no assurance that the process will result in a superior proposal.
