Direct Digital Holdings Plans Nasdaq Delisting Direct Digital Holdings Plans Nasdaq Delisting

Direct Digital Holdings, Inc. plans to voluntarily delist its Class A common stock from Nasdaq and deregister its shares with the U.S. Securities and Exchange Commission (SEC), following a trading suspension that began earlier in October 2026. The move affects the publicly traded parent of Colossus Media, an advertising supply-side platform (SSP), and Orange 142, a digital advertising and marketing services business.

The company said it intends to file a Form 25 with the SEC on or around November 2, 2026. It expects Nasdaq delisting to become effective approximately 10 days later, around November 12. The company also plans to file a Form 15 to terminate its remaining registration and reporting obligations, subject to applicable regulatory timelines.

The decision follows a Nasdaq determination dated October 1 that Direct Digital Holdings did not comply with Nasdaq Listing Rule 5550(b)(1). Trading in its Class A common stock was suspended on October 5.

Why Direct Digital Holdings Is Leaving Nasdaq

Direct Digital Holdings said its board authorized the voluntary delisting and deregistration on October 20. In explaining the decision, the company cited the existing trading suspension, the costs of maintaining public-company registration and the demands that regulatory reporting places on management and company resources.

The board also considered the stock’s existing quotation on OTC Markets, its trading volume and price, the company’s prospects for meeting listing requirements on Nasdaq or another national securities exchange, and the limited benefits of maintaining a Nasdaq listing while trading remained suspended.

According to the announcement, the company did not believe it had sufficient grounds to appeal Nasdaq’s delisting determination. Filing its own Form 25 would allow it to establish a clearer timetable for the process rather than waiting for Nasdaq to complete the required filing.

The decision represents a corporate and capital-markets development rather than a new advertising technology launch. Its significance for the AdTech sector lies in the public-market position of a company operating businesses across advertising infrastructure and digital marketing services.

What the Delisting Means for DRCT Shareholders

Direct Digital Holdings’ Class A shares are currently quoted under the symbol DRCT on the OTC Markets’ OTC Pink Limited Information tier. The company expects that quotation to continue following the Nasdaq delisting and deregistration.

However, it cautioned that there is no assurance a market for the shares will be maintained. Investors may find it more difficult to buy or sell their holdings, particularly if trading liquidity remains limited.

The company said it may discuss moving its shares to a higher OTC Markets information tier with broker-dealers, although no arrangements have been finalized.

Direct Digital Holdings also intends to file Form 15 after the Form 25 process advances. It expects this step to suspend certain reporting obligations under the Securities Exchange Act of 1934, including applicable periodic and current reports such as Forms 10-K, 10-Q and 8-K. The timing and scope of those changes will depend on the applicable regulatory requirements and effectiveness of the filings.

The company expects its Section 12(b) registration to terminate approximately 90 days after the Form 25 filing, around January 31, 2027, and its deregistration under Section 12(g) to become effective approximately 90 days after the Form 15 filing.

Market Landscape: AdTech Infrastructure and Public-Market Pressures

Direct Digital Holdings operates through Colossus SSP and Orange 142, placing the group across advertising supply infrastructure and digital marketing services. SSPs help publishers and other media owners manage and sell advertising inventory to buyers through digital advertising marketplaces.

The Nasdaq decision does not, by itself, establish that the company’s advertising operations will change. However, a transition away from a major national exchange can affect investor access to information, trading liquidity and the way a company is followed by public-market participants.

The planned reduction in SEC reporting obligations may lower some compliance costs, as management indicated, but it also means investors could have less regular access to company disclosures once those obligations cease. The announcement does not quantify expected savings or provide new operating or financial forecasts for Colossus SSP or Orange 142.

Strategic Outlook

Direct Digital Holdings’ immediate priority is completing the regulatory process and determining the future quotation arrangements for its shares. Investors will need to monitor the Form 25 and Form 15 filings, OTC Markets status and any subsequent company disclosures.

For the AdTech industry, the development serves as a reminder that advertising technology businesses face both operational competition and capital-market requirements. The effect on Colossus SSP’s commercial activity, customer relationships and competitive position cannot be determined from the delisting announcement alone.
