I Squared Capital has agreed to acquire Australian and New Zealand out-of-home media company oOh!media for approximately A$898 million, targeting a large physical advertising network as digital out-of-home (DOOH), programmatic buying and audience measurement reshape the OOH market.

Under the proposed scheme of arrangement, oOh!media shareholders will receive A$1.70 per share in cash, valuing the company at about A$898 million on an equity basis and approximately A$1.04 billion including enterprise value. The offer represents roughly a 100% premium to oOh!media’s undisturbed closing price of A$0.85 on April 28, 2026.

Sydney-headquartered oOh!media operates more than 30,000 digital and static advertising assets across Australia and New Zealand. Its inventory spans roadside billboards, street furniture, rail and transit networks, airports, retail locations and other public environments.

For I Squared, the transaction is less a conventional media acquisition than an infrastructure investment in a physical advertising network. The investment firm says it intends to build on oOh!media’s existing scale while accelerating the digitalization of the network.

That distinction matters for the advertising technology ecosystem. OOH has historically been sold around physical locations and audience estimates, but the digital layer is making inventory increasingly addressable, measurable and compatible with automated media-buying workflows.

Australia is already a relatively mature DOOH market. According to the Outdoor Media Association, Australian OOH generated A$1.45 billion in net media revenue in 2025, up 11.43% from the previous year. DOOH represented 76.6% of total OOH revenue. In the second quarter of 2026, DOOH’s share reached 77.1%.

The global market is moving in the same direction. The World Out of Home Organization estimates global OOH expenditure reached $54.2 billion in 2025, with DOOH accounting for $25.5 billion, or about 47% of OOH revenue. The organization expects DOOH to reach 49% of global OOH expenditure in 2026.

Programmatic buying is another part of the transformation. WOO’s first global measurement of programmatic DOOH found approximately $1.4 billion in programmatic DOOH spending in 2025, equivalent to 7% of global DOOH expenditure.

That leaves considerable room for technology-driven expansion. Connecting digital screens with demand-side platforms, supply-side platforms, audience data and automated buying can make OOH more compatible with the planning and measurement infrastructure advertisers already use for digital media.

oOh!media also operates at a time when measurement is becoming a strategic issue for OOH. Australia’s MOVE measurement system launched in 2026 to provide standardized audience data across OOH formats, giving agencies and advertisers a more consistent framework for campaign planning, buying and reporting.

The acquisition therefore gives I Squared exposure to both physical media infrastructure and an increasingly software-enabled advertising channel. Competitors such as JCDecaux, Clear Channel Outdoor and Ströer are pursuing their own digital and programmatic strategies, while technology platforms increasingly connect DOOH inventory with broader omnichannel campaigns.

The transaction remains subject to shareholder, court and regulatory approvals and other customary conditions. Completion is expected in the fourth quarter of calendar 2026, assuming the relevant conditions are satisfied.

Market Landscape

OOH is moving from a predominantly location-based medium toward a data-driven advertising channel. The growth of DOOH, programmatic buying and standardized measurement is making physical inventory easier to integrate into omnichannel media strategies.

Australia is particularly advanced in this transition, with DOOH already accounting for more than three-quarters of OOH revenue. That creates an attractive environment for infrastructure investors seeking assets with recurring commercial relationships while also giving advertisers more technology-enabled ways to access physical audiences.

The next stage will likely center on interoperability, measurement, audience data, automated buying and attribution. As these capabilities improve, DOOH increasingly competes for budgets not only with traditional OOH but also with CTV, retail media and other addressable advertising channels.

Strategic Outlook

I Squared Capital’s acquisition highlights how the boundaries between advertising technology and physical infrastructure are becoming less distinct.

For advertisers, the value of an OOH network increasingly depends on more than the number of screens or billboard locations. Data quality, inventory availability, audience measurement, programmatic connectivity and campaign reporting are becoming equally important.

For oOh!media, accelerating digitalization could create additional inventory flexibility and strengthen its role in omnichannel media buying. For the wider AdTech market, the deal reinforces the growing importance of DOOH as a measurable, technology-enabled advertising format.
